TDM Ventures LLC dba Exo Logistics – TERMS OF SERVICE

Effective Date: May 1, 2026

1. ACCEPTANCE OF TERMS By accessing the website (flyexoatl.com) or submitting a deposit for the Exo Beta Program ("Beta Program"), you agree to be bound by these Terms of Service ("Terms"). These Terms govern your use of the website and your participation in the Beta Program operated by Exo ("Company," "we," or "us").

2. NATURE OF SERVICES (INDIRECT AIR CARRIER DISCLOSURE) Exo acts strictly as an indirect air carrier and logistics management company. Exo is not a direct air carrier or a direct Part 135 operator. All flights arranged by Exo are operated by strictly vetted, FAA-licensed, and DOT-registered Part 135 direct air carriers that exercise full operational control over the aircraft at all times.

3. BETA DEPOSITS AND MEMBERSHIP APPLICATIONS 3.1 Deposits: The $250.00 USD Beta Deposit secures your position on the priority waitlist for the Founding 50 membership cohort. 3.2 Approval: Submission of a deposit does not guarantee membership. Exo reserves the right to approve or deny any membership application at its sole discretion. 3.3 Refundability: Beta Deposits are fully refundable upon request at any time prior to the execution of a final Membership Agreement, or if your membership application is not approved by Exo management.

4. FLIGHT OPERATIONS AND PASSENGER CONDUCT 4.1 Weather & Delays: Helicopter operations are strictly subject to weather minimums and air traffic control (ATC) restrictions. Safety is the ultimate authority. In the event of a weather grounding, Exo will initiate its ground-transport contingency protocols. Exo is not liable for missed commercial connections due to weather or ATC delays. 4.2 Luggage & Weight: Due to the strict weight and balance requirements of rotary-wing aircraft, passengers are limited to standard carry-on baggage. Oversized or excessive luggage may be refused or ground-transported at the member's expense. 4.3 Right to Refuse Service: The Pilot in Command (PIC) of the contracted Part 135 operator retains the final authority to refuse boarding to any passenger deemed a safety risk, including but not limited to intoxication or failure to comply with tarmac security protocols.

5. INTELLECTUAL PROPERTY All content, branding, logos, and digital assets on this website are the exclusive intellectual property of Exo. Unauthorized reproduction or use of our intellectual property is strictly prohibited.

6. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE WEBSITE, PARTICIPATION IN THE BETA PROGRAM, OR ANY LOGISTICS SERVICES PROVIDED.

7. GOVERNING LAW These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Fulton County, Georgia.
